Your setup seems very strange to me.
I would suggest handling e-mail without any POP3 "downloaders", whether for the server or for the clients. For that you need to point MX record of your domain to your Exchange Server. You also would need to stop using POP3 for your US users and let them have proper Exchange connectivity - Outlook's cached mode will help greatly.
I also strongly suggest to keep all mail on the server (regardless if you decide to drop POP3 or not). This will allow you to easily backup your Exchange data (that is what you wanted to achieve, right?).

My Company here consist of 2 locations.
the first location is in Egypt , & the Second Location located in USA office.
My MX record is pointed on MY ISP SIDE , which is located in UK.
The users who is located in USA, are about 10 users, and they Donot have at all any Exchange server in the office.
they Have INTERNET Connection, and all the 10 users are configured to Use POP3 Account to connect to the Mail server which is Located in UK in order to be able to send & receive E-mails from others and from OUTSIDE as well.
The Users who is located in Egypt, are about 200 users, and for that i have My Exchange Server 2003 STD edition.
The Exchange server is configured to use GFI POP3 Downloader, to Download the Emails from the POP3 server which is located in UK and to deliver the E-mails to the Exchange server users. ( both Locations have the Same SMTP Domain Name ).
Now, both Locations, in Egypt & USA are able to send / receive E-mails from each other without any Problems at all, and both Locations are able to send / recive without any Problems at all.

Now, the Problem is in Egypt Office.
All the Users are configured with OUTLOOK to deliver the E-mails to the PST not have Mailbox on the Server it self.
so all the Users E-mails & Contacts located on the User PC. on his PST file.
Now, we are thinking of something.
is there anyway to let or to have duplication E-mails Copy from the Users
