All you need to do is uninstall Exchange from Add\Remove Programs.

The question is whether you already configured this server as a routing
master etc.
If not, then it's pretty easy. Read :

Quick Question. We had a 2nd Exchange (2003) online for a bit and have
decided it is not necessary. Is there a procedure for removing this
server? It was designated as a routing master, bridgehead or performing
any other "critical' roles.
