Thanks for your help. I just doubled chek the schema version by following
the link. We do have the right version.

If I can just introduce another new hardware exchange 2003 frontend server,
I will not upgrade this exchange 2000 frontend server. When I try to install
the exchange 2003 on the new hardware, it will not allow me to install and
ask me to upgrade the current exchange 2000 frontend server first. So, I
have to upgrade this exchange 2000 first. Any way to get around this?

Any help is much appreciated.

Do you have an empty forest root? If so, you would still need to run
domainprep in the forest root as well as the domain where Exchange is
installed.

No, I am just insane. The exchange version and upgrade option is not
changed. So it's not completed.

From Log, I found that it mentioned the root domain's domainprep is not
prepared. I just checked the I.M server and verified it ran domainprep
successfully. (BTW, this server is located on another site)

Can I run the domainprep for exchange again without any issue?

Have you also checked to make sure that the WWW service and the IIS Admin
service is running? Go into IIS Admin and check to make sure that the
default web site is in fact started?

Can you try and do a "reinstall" of Exchange 2003? When you launch
setup,
one of the options in the drop-down menu will be Reinstall.

run.
If you are only a Domain Admin, you do not have rights to
update
the
Schema.
You need to be a member of the Enterprise Admins and Schema
Admins
groups
(as well as Domain Admins) in order to do that. If your
account
is
not
a
member of those groups, then you can log in with an account
that
is,
and
*just* run Forestprep. You can do that using the Deployment
Tools
(exdeploy
from the CD) or by running setup.exe with the /forestprep
switch.
