around not to upgrade the exchange 2000 frontend server and install exchange
2003 directory?

The error *sounds* like it could be an issue with the Computer Account. Do
you have more than 1 Front-end server? If so, does the same error appear
for the other one(s)?

If you do not have others, then Exchange 2003 Forestprep needs to be
run.
If you are only a Domain Admin, you do not have rights to update the
Schema.
You need to be a member of the Enterprise Admins and Schema Admins
groups
(as well as Domain Admins) in order to do that. If your account is not
a
member of those groups, then you can log in with an account that is,
and
*just* run Forestprep. You can do that using the Deployment Tools
(exdeploy
from the CD) or by running setup.exe with the /forestprep switch.
