Design question

I have a client that is currently in a Win2K AD domain with one Win '03
member server. They are looking to replace their current messaging
system with Exchange in the next few months. I presume I should first
upgrade AD to 2003 by extending the Schema & DCPORMO'ing the 2003
member server, then install the new Exchange box. Am I correct in this
assumption? Any reason to leave the domain at 2000 and simply install
Exchange?
I've also heard mixed opinions on whether an Exchange server should
also be a DC. I've had MS Tech Support tell me in no uncertain terms
that an Exchange box should never be a DC, but I can show you a dozen
KB articles that contradict this position. If possible, I'd like to
also DCPROMO the new Exchange box (prior to installing Exchange) and
make it a Global Catalog server for fault tolerance. Any thoughts on
this?
