Marc,
You can use Distribution Groups to restricted access to public folders in a
Native Mode Windows 2000 domain only. See
http://support.microsoft.com/default.aspx?scid=kb;EN-US;274046
Exchange 2000/2003 public folders can only grant permissmions to security
principals. A UDG is not a security principal but if you add this type of
group to a public folder, Windows 2000 Native Mode AD domain will
automatically convert it to a USG.

looking to restrict access to some public folders in our exchange
organization, can I use distributiongroups for this, or do I need to use
security groups for this? I am under the understanding that security groups
are for domain security/ntfs restrictions and distribution are for exchange.
If anyone can clarify this, my Exchange 2003 training manual is kinda vague
on this. TIA - Marc
