5.5 can't be installed on Windows 2003, it can go on 2000 and NT 4.0. Please refer to the following Technet article.

I do not have active directory in place and it is a NT site with Exchange 5.5 servers running on nt 4 machines.
I do plan on upgrading to AD later. But for now this is what I need to do.
Any help on this would be appreciated.
