You may try:
Disable "Tools\Options\Text Editor\General\Track changes".

I just ran the vb upgrade wizard from Visual Studio 2003 and it
worked fine, with a fully responsive IDE after the upgrade. Doesn't
help me as this project needs to be in .Net Framework 2.0.

a bunch of crap in the background, but I am not.
