could you explain why ?
Marshalling is employed anytime you need or
decide to place e.g. an argument on their
exact native win32 form, and I think this is
independent of using classes or structures,
both could use a member or any other thing
that needs to be marshalled.

declare the struct in c++ and use the refernce in c# and the marshalling
problem will mostly go away.
