Hi Ralph,
Sharepoint Portal Server and Exchange Server are not supported together on
the same computer, even though the product documentation and Setup imply
that they can run together. Pleaes refer to this KB article: 277567 Cannot
Install Sharepoint Portal Server on a Computer Running Exchange

Moreover, SPS 2003 cannot coexist with Exchange server as well. Please see:

I know that some poeple may have installed these two products together and
run them well but it may have some potential issues/risks and isn't
recommended.
